When you visit the Website, register an Account, purchase Credits, or buy or access E-Learning Materials, you confirm that you have read and understood these Terms and agree to comply with them.

If you do not accept these Terms, you should not use the Website or purchase E-Learning Materials or Credits.

We may revise or amend these Terms from time to time. Any revision takes effect once it is posted on the Website. If you continue using the Website after revised Terms are published, this will be treated as your acceptance of those changes.

2. Definitions

In these Terms, the following words have the meanings set out below:

• “Credits” refers to digital units that users purchase with real money and apply toward obtaining E-Learning Materials offered on the Website.

6. Credits

You may use Credits to obtain eligible E-Learning Materials offered through the Website.

Credits are digital units that may be purchased with real money using the payment options and currencies supported on the Website, which may include USD (USD$) and JPY (¥).

Credits can be applied to eligible E-Learning Materials. The required number of Credits for a particular Material will be shown on its product page before you complete the transaction.

Credits:

• Do not have cash or monetary value outside the Website
• Cannot be exchanged for cash
• Cannot be redeemed for cash or paid into a bank account
• May not be sold, assigned, transferred, or exchanged between users or Accounts
• Can only be used for eligible purchases made through the Website
• Remain valid for 90 days from the date of purchase

We may revise Credit prices, the number of Credits needed for specific Materials, or the conditions that apply to Credits at any time. Such revisions will not change transactions that have already been completed.

7. Purchase of Credits

When buying Credits, you must provide complete and accurate payment and billing details.

You authorize us or our appointed payment providers (Amex, Visa, Mastercard, JCB) to charge you the price applicable to the Credit package you select.

The available Credit packages and their prices will be shown on the Website before you confirm your purchase.

Some Credit packages may include Bonus Credits at no additional monetary charge.

The amount of Bonus Credits offered with a package will be displayed on the Website when you make your purchase.

For instance, a package may contain the Credits you pay for plus an extra amount of Bonus Credits. The allocation may differ according to the package value and any promotion available at the time of purchase.

Buying Credits does not mean that you have purchased a specific E-Learning Material. You may use Purchased Credits and Bonus Credits later to obtain eligible Materials in accordance with these Terms.

We may change, pause, or end any Credit package or Bonus Credit promotion at our discretion and at any time.

8. Bonus Credits

We may award Bonus Credits depending on the amount of Credits you purchase.

Bonus Credits are provided without an additional monetary charge and are distinct from Credits purchased directly by you.

Unless we specifically state otherwise:

• Bonus Credits have no cash or monetary value
• Bonus Credits cannot be refunded
• Bonus Credits cannot be exchanged for cash
• Bonus Credits cannot be sold, assigned, transferred, or exchanged between Accounts
• Bonus Credits cannot be withdrawn or converted into Purchased Credits
• Bonus Credits may only be applied to eligible Materials available on the Website
• Bonus Credits may expire or be subject to other promotional conditions disclosed when they are issued

If you receive or qualify for a refund relating to a Credit purchase, the associated Bonus Credits will not be refunded or exchanged for cash or any other monetary value.

Where relevant, unused Bonus Credits may be cancelled or removed from your Account if the related Credit transaction is refunded, reversed, cancelled, or found to be fraudulent or unauthorized.

If a transaction includes both Purchased Credits and Bonus Credits, we may decide the sequence in which those Credits are deducted when you obtain Materials.

9. Use of Credits for E-Learning Materials

Provided your Account has enough Credits, you may apply them toward eligible E-Learning Materials.

Before confirming a transaction, you should check the following details:

• The title of the subject
• The relevant Skill Level
• The description of the Materials
• The number of Credits needed
• Any additional details shown on the applicable product page

After you confirm the transaction, the required Credits will be deducted from your Account.

Unless we expressly specify otherwise, obtaining E-Learning Materials gives you a limited, non-exclusive, non-transferable right to access and use them for your own non-commercial educational and informational purposes, subject to these Terms.

10. Digital Content and Access

Because E-Learning Materials are digital products, they may be supplied electronically through your Account, the Website, or another digital access or delivery method that we identify.

You understand that accessing digital Materials may require certain technical resources, such as a compatible device, suitable software, an internet connection, or other system requirements.

We do not guarantee that the Materials will work with every device, operating system, browser, application, or software environment.

14. Refunds and Cancellations

As Credits and E-Learning Materials are digital products, restrictions may apply to cancellations and refund requests.

Except where applicable law requires otherwise or our Refund Policy expressly provides otherwise:

• Credits that have been successfully purchased are non-refundable
• Bonus Credits cannot be refunded, except where applicable law requires it
• Bonus Credits have no cash value and cannot be exchanged for a monetary refund
• Credits already spent to obtain E-Learning Materials cannot be refunded
• Materials that you have accessed, downloaded, or otherwise been given access to may not qualify for a refund
• Requests based solely on a change of mind may not qualify for a refund

If we approve a refund for a Credit purchase that included Bonus Credits, the refund may cover only the eligible amount actually paid for the Purchased Credits. Bonus Credits are excluded from the refundable amount.

If Bonus Credits have already been used to obtain Materials and the associated Credit purchase is later refunded, we may, subject to applicable law, deduct the corresponding value from the refund, cancel the Materials obtained, or take other reasonable steps to prevent misuse of promotional Credits.

If you believe you were charged incorrectly, received the wrong quantity of Credits or Bonus Credits, or encountered a technical problem with a purchase, please contact our support team as soon as reasonably possible.

15. Accuracy of Information

We take reasonable steps to keep the information published on the Website accurate and current.

However, we cannot guarantee that descriptions, prices, availability details, technical information, or other Website content will always be complete, correct, or free of errors.

We may correct mistakes, inaccuracies, or omissions and revise Website information at any time without giving prior notice.
